Website use and commercial terms for purchases made through the DA Synergie public site.

Website use

The website is provided for informational and customer communication purposes. Visitors are expected to use the site lawfully and respectfully.

Customer accounts

Customer accounts may be used for purchases, downloads, licensing, and support. Purchases made through the website are associated with the customer's account. Account use is subject to the applicable legal documents.

Orders and payments

An order is submitted when you confirm checkout and continue to payment. Prices are shown in Canadian dollars (CAD) unless otherwise indicated. Applicable taxes are calculated during checkout based on the billing information associated with your account.

Payment is processed through the supported third-party payment provider. DA Synergie does not store your full payment-card details on this website.

If payment fails, is cancelled, or is not completed, the order is not treated as paid and licence entitlements are not created for that incomplete payment.

If a duplicate or erroneous charge occurs, contact DA Synergie promptly with your account and order details so the transaction can be reviewed.

Digital software licences and delivery

Products sold through the website are digital/electronic software licences, not physical goods. After successful payment, the purchase is associated with your customer account, a final invoice may be issued, and the applicable licence entitlement is created.

Where the product requires machine activation, you may generate a licence request file and obtain a signed licence file for download through your account. Electronic delivery / download constitutes delivery of the digital product.

Software use is also subject to the End User License Agreement and the licensing policy, including machine binding, reissue, and rehost rules.

Refunds, cancellations, and payment disputes

Except where a refund, cancellation, warranty remedy, or other remedy is required by applicable law, the following commercial refund and cancellation rules apply to digital software licence purchases made through this website. These Terms are the authoritative document for refund and cancellation of website purchases.

Before licence issuance. A cancellation or refund request may be considered where payment was completed, the purchased commercial licence entitlement has not been used to issue or generate a licence file, and no applicable licence file has yet been delivered or generated. If such a refund is approved, the corresponding unused commercial entitlement will be cancelled or revoked so that it cannot subsequently be used to generate a licence.

After licence issuance. Once a machine-bound offline licence file (.dat) has been issued or generated, the purchase is generally final and non-refundable. DA Synergie licences may operate offline, and an already-issued licence file cannot necessarily be remotely disabled or cryptographically invalidated after delivery. These Terms do not claim that DA Synergie possesses remote revocation capability for previously issued offline licence files.

No general refund window. There is no unconditional 7-day, 14-day, 30-day, or similar return or refund period for digital software licences.

Exceptions. DA Synergie may review and, at its discretion, approve exceptional refunds in situations such as duplicate payment, billing error, inability by DA Synergie to deliver the purchased product or licence, or another exceptional circumstance accepted by DA Synergie. Review in these categories does not mean that every request automatically receives a refund.

Refunded entitlements. If an unused licence purchase is refunded, its commercial entitlement must no longer be usable for new licence issuance. If DA Synergie exceptionally refunds a purchase after a .dat file was already issued, the commercial entitlement may be marked refunded or revoked; that administrative status does not remotely invalidate the previously issued offline .dat file.

Customers may contact DA Synergie or use available account tools to request review of a paid order. Chargebacks and payment disputes may also be handled through the payment provider. Initiating a dispute does not by itself create a refund entitlement under these Terms.

Acceptable use

Use of the website and related software must not violate applicable law, infringe rights, or compromise the safety of industrial systems.

Intellectual property

All website content, product names, and related materials remain subject to DA Synergie鈥檚 rights unless otherwise stated.

Relationship to other documents

These Terms work together with the EULA, licensing policy, Safety Notice, Engineering Responsibility Statement, and Privacy Policy. In case of conflict on software-use licence conditions, the EULA and licensing policy control for those subjects. These Terms control the website purchase transaction, including refunds and cancellations of purchases made through this site.

Governing law

To the extent permitted by applicable law, these Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Subject to any mandatory rights or forums that applicable law does not permit to be waived, the courts of the Province of Quebec shall have jurisdiction over disputes arising out of or relating to these Terms or website purchases.
