End User License Agreement

This agreement governs the use, distribution, and licensing of DA Synergie software.

License grant

DA Synergie grants a limited, non-exclusive license to use the software as provided in this agreement. The software may be used only in accordance with the license terms and applicable documentation.

Restrictions

  • The software may not be sublicensed, copied, modified, or distributed except as permitted by the license.
  • Users may not reverse engineer, decompile, or disassemble the software except where permitted by applicable law.
  • The software is provided for use only in the manner described in the product documentation.

Relationship to safety and engineering documents

This agreement works together with the Safety Notice and the Engineering Responsibility Statement. DA Synergie software is not a certified safety system. Customers, machine builders, OEMs, and integrators remain responsible for independent safety measures, validation, and production deployment decisions.

Warranty disclaimer

To the maximum extent permitted by applicable law, the software is provided "AS IS" without warranty of any kind. DA Synergie disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the fullest extent permitted by law. Nothing in this agreement excludes or limits any warranty or right that applicable law does not permit to be excluded or limited.

Liability limitation

To the maximum extent permitted by applicable law, DA Synergie is not liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the software.

To the maximum extent permitted by applicable law, DA Synergie's aggregate liability arising out of or relating to the Software or the applicable licence shall not exceed the amount actually paid by the customer to DA Synergie for the specific Software licence giving rise to the claim.

Nothing in this agreement excludes or limits liability that applicable law does not permit to be excluded or limited.

Purchases and related terms

Website purchases, payment, digital delivery, refunds, and cancellations are governed by the Terms of Service. Machine binding, reissue, rehost, and offline-licence limitations are described in the licensing policy.

Customer obligations

The customer is responsible for verifying compatibility, applying updates, maintaining backups, and ensuring the software is used safely and appropriately.

Governing law

To the extent permitted by applicable law, this agreement is governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Subject to any mandatory rights or forums that applicable law does not permit to be waived, the courts of the Province of Quebec shall have jurisdiction over disputes arising out of or relating to this agreement.
